Terms of Use
1. About these terms
TeamArc is a coaching app by Semperity. It is operated by Semperity LLC, a Utah limited liability company (“Semperity”, “we”, “us”). These terms are an agreement between you and Semperity LLC about your use of the TeamArc app, the TeamArc website, and the links and emails TeamArc sends (together, “TeamArc”).
If you start a team or join a tryout as an evaluator, you accept these terms by ticking the box in the app. Anyone else who uses TeamArc accepts them by using it. Our Privacy Policy explains what information we handle and how; please read it too.
2. Who can use TeamArc
- Coaches. To start or run a team you must be at least 18 and a coach or administrator for that team.
- Tryout evaluators. A club can invite you to help evaluate one of its tryouts with a join code. You must be at least 18, and you must tell us truthfully whether your own child is in that tryout. If they are, we hide the player you name (by bib number or name) from you there, and your notes can’t be put on that player. Your access covers that one tryout only, and ends when the club wraps it up, when the tryout’s dates end, or when the club removes you.
- Family members. Parents, guardians and other family members use TeamArc when a coach invites them.
- Coach, evaluator and family accounts are for adults. If your app store tells us the person using a device is under 18, TeamArc won’t open a coach, evaluator or family account on that device.
- Players. A player can have their own sign-in only by invitation from us, and only after a parent or guardian confirms to us in writing that the player is 13 or older. We don’t give a sign-in to anyone we know is under 13. A player with their own sign-in can answer RSVPs for their own team events, and set and change their own goal, if this is turned on for their team; a parent or guardian’s answer replaces the player’s RSVP, and the player’s family members can see the goal and add suggestions.
- If you’re under 18, your parent or guardian must agree to these terms for you and is responsible for your use of TeamArc. We won’t enforce these terms against a player under 18 unless a parent or guardian has agreed to them and, where the law requires, that agreement has been confirmed through your app store. We may still limit or end a player’s access to keep people safe.
3. Your account
Coaches sign in with their email address: TeamArc emails a one-time code instead of using a password. Tryout evaluators join with the club’s code and confirm their email address the same way. Because of that, anyone who can read your email can sign in as you, so keep your email account secure. Each account is for one person. You’re responsible for what happens in your account. If you lose a phone that is signed in, or think someone else has used your account, email [email protected] and we’ll sign that device out.
4. What you add, and your permission to add it
Coaches add information about players and their families: names, contact details, notes, goals, plans and schedules. Many players are children. When you add that information, you promise us that:
- you are the player’s coach or a team administrator, and you have your club’s or organization’s permission (where it’s needed) to use TeamArc for the team;
- you have any permission or consent the law, your club or your league requires to add the players’ and family members’ information, and the families know you use TeamArc for the team;
- you add information only for coaching and running the team, and you keep it accurate as far as you reasonably can;
- you don’t add information TeamArc isn’t built for, such as medical or health details, government ID numbers, or financial information; and
- before you add a family member’s phone number for text messages, you have their consent.
A parent or guardian can ask you, or us, to correct or delete their child’s information. Please help us honor those requests.
5. AI-assisted drafts
TeamArc uses AI to help organize your notes and to draft things you may choose to share, such as updates, shout-outs, check-ins and summaries. AI drafts can be wrong, incomplete, or say more than you meant. A draft stays private to the team’s coaches until a coach chooses to share it. Once you share a draft, with or without edits, it is your message, and you are responsible for it as if you wrote it yourself. Read every draft before you share it.
6. Sharing with families and players
You decide what families and players see. A family member sees only what you share about their own player (including, if you share it, that player’s development plan) and their own player’s goal and RSVPs, plus the team schedule and announcements and, if it’s on for your team, the team RSVP list (each player’s first name, last initial and RSVP answer, and the coaches’ own answers, never reasons or who answered). Private family links and calendar links work like keys: anyone who has one can open what it shows. Share them only with the people they are meant for, and tell us if one has spread further than it should.
Offers you send are from you and your club; Semperity isn’t a party to them. Any agreement about a place on a team, fees or eligibility is between your club and the family.
7. Acceptable use
Don’t use TeamArc to:
- harass, bully, embarrass or threaten anyone, or write about a child in a way you wouldn’t be comfortable with that child’s parent reading;
- market or sell to families or players, or send them messages that aren’t about the team;
- add information about people you have no coaching or team reason to track;
- use anything you see as a tryout evaluator for any purpose other than helping the host club with that tryout, including contacting players or families about it outside the club’s own process;
- break the law, or anyone else’s rights, including privacy rights;
- try to get into accounts, teams or information that aren’t yours, or share your sign-in or a tryout join code with someone else;
- interfere with TeamArc, test its security without our written permission, overload it, or use automated tools to collect information from it; or
- copy, change, or reverse-engineer the app, except where the law allows it.
8. Your content
You (or your club) keep ownership of what you add to TeamArc. Content you add while evaluating for another club’s tryout belongs to that club; your access ends when the tryout ends. You give Semperity permission to store, copy, process and display it only as needed to run TeamArc for you, for your team, and for the families and players you share with, as described in the Privacy Policy. This includes sending it to the service providers listed there, such as the AI provider that prepares drafts.
A player’s record belongs to that player’s continuing story, so notes you wrote stay with the players’ records if you delete your account or leave the team. This permission continues for that content for as long as it stays in TeamArc.
If you send us feedback or ideas, we may use them to improve TeamArc without owing you anything.
9. Our app
Semperity owns the TeamArc app, website and name. We give you a personal, non-exclusive, non-transferable right to use TeamArc under these terms. We keep all other rights.
10. Plans and fees
When this section applies. We’re turning plans on in stages. Until plans are on for your team, your team has no trial clock and no read-only limit, and nothing in this section limits it. The rest of this section describes how plans work once they’re on.
Free trial. A new team gets a free trial. It ends 30 days after your team’s first note, or 45 days after you create the team, whichever comes first. You get one trial: a team you start while you’re on a trial shares that trial. We’ll tell you in the app when 7 days are left. We don’t ask for a card to start a trial, and you’re never charged when it ends; it simply ends.
After a trial or a plan ends. If your team doesn’t have a plan, it becomes read-only for new notes and for new updates, shout-outs, check-ins and announcements to families, except while your club has a tryout offer waiting for an answer. Nothing is deleted or hidden. You can still read, correct and delete what’s there, get a copy of it, and delete your account, and families can still answer RSVPs. Running a tryout, and evaluating at one, is free.
Buying a year for your team. When in-app plans are available, a coach can buy a plan for a team in the app, through Apple’s App Store. It is a one-time purchase that covers that team for 12 months from the day you buy it; if you buy while a plan is still running, the new 12 months start when the current ones end. It doesn’t renew automatically, and you won’t be charged again unless you choose to buy again. Before you buy, the app shows the price, what it covers and that it doesn’t renew, and Apple shows the price again before charging you.
Club and team plans. A club can pay for TeamArc for its teams by invoice, under a written order with us. The order sets the price (per rostered player, per year), which teams and players it covers, and when payment is due; tryout players and players who have left a team are never counted. A club can also choose to pay for a coach’s team; while it does, that coach isn’t asked to pay in the app. If your club starts paying for a team you already bought a plan for, we’ll work out the overlap with you and the club so that no one pays twice for the same months. If a club’s order and these terms disagree about billing, the order applies.
A club, or anyone a coach arranges, such as a team’s family members or a booster group, can also pay for a coach’s team by invoice from us. Paying for a team is always optional. It gives the payer no extra access to TeamArc or to any player’s record, and it never affects playing time, selection, a place on a team, or how a coach treats a player.
Plans we give. We may give a team a plan free or at a discount, for example as a founding coach. Founding coaches keep the terms of the written founding offer we made them. A plan we give free is for that team only, can’t be transferred or sold, and has the end date we tell you.
Payment and refunds. Apple takes payment for purchases made in the app, under Apple’s own terms. Refunds for those purchases are requested from Apple (reportaproblem.apple.com) and decided under Apple’s rules; if Apple refunds a purchase, the plan it paid for ends. Club invoices are paid to us as the order says.
Families and players. Coaches, clubs, or people a coach arranges pay for TeamArc. We never require family members or players to pay to use TeamArc. Family members and players aren’t asked to pay for anything in TeamArc today. Seeing their player’s record, getting a copy of it and asking us to delete it will always be free. If we ever offer optional extras for families, we’ll update these terms first, and no one will be charged without first seeing the price and choosing to buy. We’ll never charge anyone without first showing the price and asking them to confirm.
11. Text messages
TeamArc text alerts are team announcements a coach chooses to also send by text. They go only to adult family members who turn on text alerts themselves in the app, never to players, and at most 5 a month for each team. Message frequency varies. Message and data rates may apply. Reply STOP to opt out, or HELP for help. Carriers aren’t responsible for delayed or undelivered messages.
12. Not for emergencies
TeamArc isn’t an emergency or safety system. Notifications and emails can be late or fail to arrive, and TeamArc may sometimes be unavailable. Don’t rely on it for anything urgent about a child’s health or safety; contact the family, the club, or emergency services directly.
13. Suspension and ending
You can stop using TeamArc at any time. A coach can delete their account in the app (Settings → Delete account), and family members and players can delete theirs in the app (Account → Delete account). What happens to information after that is explained in the Privacy Policy.
We may suspend or close an account, or remove content, if we reasonably believe it breaks these terms, puts a child or anyone else at risk, or exposes Semperity or other users to legal harm, or if the law requires it. Where it’s safe and lawful, we’ll tell you why. We may also change or stop offering parts of TeamArc; if we stop offering TeamArc altogether, we’ll give coaches reasonable notice first.
Sections 4, 5, 8, and 14 through 20 continue to apply after your use ends.
14. Disclaimers
TeamArc is provided “as is” and “as available”. To the fullest extent the law allows, Semperity makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and doesn’t promise that TeamArc will be uninterrupted, error-free, or that AI drafts will be accurate. TeamArc is a tool for remembering and sharing coaching observations; it does not assess a player’s ability or predict any outcome, such as selection, playing time or a scholarship.
15. Limit of liability
To the fullest extent the law allows: Semperity is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill; and Semperity’s total liability for any claim about TeamArc is limited to the greater of the amount you or your club paid for TeamArc in the 12 months before the claim, or US $100. Some places don’t allow these limits, so they may not all apply to you. Nothing in these terms limits liability that can’t be limited by law.
16. Your responsibility to us
If you are a coach, team administrator or tryout evaluator and someone makes a claim against Semperity because of information you added or shared through TeamArc, or because you broke these terms or the law, you will cover Semperity’s reasonable losses and costs from that claim, to the extent the law allows. We’ll tell you promptly about any such claim.
17. If you got TeamArc from Apple’s App Store
These terms are between you and Semperity LLC, not Apple. Semperity, not Apple, is responsible for TeamArc and its content. Your right to use the app is limited to Apple-branded devices you own or control, as Apple’s App Store Terms allow. Apple has no duty to provide maintenance or support for TeamArc. If TeamArc fails to meet a warranty that applies to it, you may tell Apple, and Apple will refund any price you paid for the app; to the fullest extent the law allows, Apple has no other warranty obligation for it. Apple is not responsible for any claims about TeamArc, including product liability claims, claims that it fails to meet legal or regulatory requirements, consumer protection or privacy claims, or claims that it infringes someone else’s rights; Semperity handles those as these terms provide. You confirm that you are not located in a country subject to a U.S. government embargo or listed as a terrorist-supporting country, and are not on any U.S. government list of prohibited or restricted parties. You must also follow any third-party terms that apply when you use TeamArc, such as your mobile carrier’s. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
18. Changes to these terms
We may update these terms. When we do, we’ll post the new version here with a new version date and keep earlier versions available. If a change matters, we’ll email coaches about 14 days before it takes effect. If you keep using TeamArc after a change takes effect, the new terms apply; if you don’t agree, stop using TeamArc and, if you’re a coach, delete your account. A change in price never affects a plan you’ve already bought or a club order already signed.
19. Governing law and disputes
These terms are governed by the laws of the State of Utah and applicable U.S. federal law, without regard to conflict-of-law rules. Before bringing a claim, please email us first so we can try to fix the problem. Any case about these terms or TeamArc will be brought only in the state or federal courts located in Utah, and you and Semperity agree to those courts’ jurisdiction; either of us may instead bring a claim in small-claims court where it qualifies. If you are a consumer, this doesn’t take away any right the law of the place you live gives you that can’t be waived by agreement.
20. General
These terms and the Privacy Policy are the whole agreement between you and Semperity about TeamArc, except that a club’s written order with us also applies to that club’s billing. If part of these terms can’t be enforced, the rest still applies. If we don’t enforce a term right away, we haven’t given up the right to enforce it later. You may not transfer these terms to anyone else; we may transfer them to a business that takes over TeamArc, and we’ll tell coaches if we do. Neither of us is responsible for delays caused by events outside reasonable control.
